These Terms constitute a legally binding agreement between you ("you" or "user") and Counsel Connect, LLC d/b/a Counsel Wise Connect ("we," "us," or "our"). Your continued use of the Services following any updates to these Terms constitutes acceptance of the revised Terms.

Counsel Connect, LLC d/b/a Counsel Wise Connect, operating as Counsel Wise Connect, provides the services described on . We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice where practicable.

Access to certain features or services may require you to provide contact information, create an account, or complete a booking or inquiry form. You agree to provide accurate and complete information and to keep that information current.

User Conduct / Acceptable Use

You agree to use the Services only for lawful purposes and in a manner consistent with these Terms. You must not:

• Use the Services in any way that violates applicable federal, state, or local laws or regulations.
• Infringe or misappropriate the intellectual property rights of Counsel Connect, LLC d/b/a Counsel Wise Connect or any third party.
• Transmit any content that is harassing, abusive, defamatory, obscene, fraudulent, or otherwise objectionable.
• Use automated means, including bots, scrapers, or crawlers, to access, index, or collect data from the Services without our prior written consent.
• Attempt to gain unauthorized access to any portion of the Services or any related systems or networks.
• Interfere with or disrupt the integrity or performance of the Services.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including reporting such conduct to law enforcement authorities.

Intellectual Property

All content, trademarks, service marks, logos, graphics, photographs, text, and other materials on the Services are owned by or licensed to Counsel Connect, LLC d/b/a Counsel Wise Connect and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or otherwise exploit any such content without our express prior written permission.

If you submit, upload, or otherwise provide any content through the Services (such as inquiry forms, reviews, or user-generated submissions), you grant Counsel Connect, LLC d/b/a Counsel Wise Connect a non-exclusive, royalty-free, worldwide license to use, reproduce, display, and distribute that content to the extent necessary to operate and provide the Services. You represent that you have all necessary rights to grant this license and that your content does not infringe any third-party rights.

Bookings & Payments

Where applicable, bookings are confirmed only upon receipt of a written confirmation from Counsel Wise Connect. Any booking confirmation email or document constitutes the binding agreement for that specific service engagement, and the terms set out therein supplement these Terms of Service.

Payment terms, deposit requirements, and schedules are as stated in your booking confirmation or service agreement. You agree to pay all fees associated with your booking in accordance with those terms.

Cancellations, rescheduling, and refunds are governed by the cancellation and refund policy provided in your booking confirmation or service agreement. Please review that policy carefully before completing a booking. Counsel Connect, LLC d/b/a Counsel Wise Connect reserves the right to cancel a booking if payment is not received by the stated due date.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Counsel Connect, LLC d/b/a Counsel Wise Connect EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Counsel Connect, LLC d/b/a Counsel Wise Connect, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, Counsel Connect, LLC d/b/a Counsel Wise Connect'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO Counsel Connect, LLC d/b/a Counsel Wise Connect IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless Counsel Connect, LLC d/b/a Counsel Wise Connect, its owners, officers, employees, agents, and affiliates from and against any and all third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your use of the Services in violation of applicable law; (c) any content you submit through the Services; or (d) your violation of any third-party right.

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate with us in asserting all available defenses.

Termination

We may suspend or terminate your access to all or any part of the Services at any time, with or without cause and with or without notice, effective immediately. Grounds for termination include, but are not limited to, your breach of these Terms or conduct we determine to be harmful to other users, third parties, or Counsel Wise Connect.

Upon termination, all rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination, including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law, shall survive.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms or the Services shall be brought exclusively in the state or federal courts located in Nevada, and you hereby consent to the personal jurisdiction of those courts.

Before initiating formal legal proceedings, both parties agree to make a good-faith effort to resolve any dispute through direct written communication. If the dispute cannot be resolved informally within 30 days of written notice, either party may pursue their available legal remedies in the courts identified above.

Changes to Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will revise the Effective Date at the top of this page and, where practicable, provide notice on the website or by email to affected users.

Your continued use of the Services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of the Services.
